RESTRUCTURING PROCEEDINGS OF INVERSIONES HERSÁN L/A, S.R.L. AND DOMINICANOTEL, S.R.L.

Introduction

The Seventh Chamber of the Civil and Commercial Court of First Instance of the Judicial District of Santiago, acting as the Court of First Instance for Restructuring and Liquidation Proceedings, has admitted the restructuring process of the following commercial entities:

a) Inversiones Hersán L/A, S.R.L., a company duly organized and existing under the laws of the Dominican Republic, holder of National Taxpayer Registry (RNC) No. 1-31-58738-2 and Commercial Registry No. 27999PP, with registered address at Senator Hotels, Carretera Navarrete, Maimón, Puerto Plata, Dominican Republic.

b) Dominicanotel, S.R.L., a company duly organized and existing under the laws of the Dominican Republic, holder of National Taxpayer Registry (RNC) No. 1-01-85779-1 and Commercial Registry No. 27998PP, with registered address at Senator Hotels, Carretera Navarrete, Maimón, Puerto Plata, Dominican Republic.


This proceeding is conducted pursuant to Law No. 141-15 on Restructuring and Liquidation of Companies and Individual Merchants, with the purpose of reaching a restructuring agreement that allows the operational continuity of the companies and the orderly fulfillment of their financial obligations.


Appointment of the Conciliator

The Court has appointed Mr. José Enrique Pérez, holder of Dominican, as Conciliator of the process.

His primary function is to facilitate communication and negotiation between the debtor companies and their creditors, seeking to achieve a restructuring agreement in accordance with the procedure established under Law No. 141-15.


Filing of Claims (Proof of Claim)

Creditors of the aforementioned companies are invited to file their claims within thirty (30) business days counted from the publication of the resolution admitting the restructuring process on the Judiciary’s official website.

The deadline expires on March 16, 2026 (Critical Deadline). Any extension of this term will be published through the corresponding channels.

Declaration of Claims (Article 109 of Law 141-15)

Pursuant to Article 109 of Law No. 141-15, creditors must declare before the Conciliator all claims arising prior to the date of publication of the resolution admitting the restructuring process, that is, January 8, 2026.


The declaration shall include, among others, the following:


• General identification and domicile of the creditor.• Address for service of process within the jurisdiction of the Court.• Amount of the claim, including outstanding balances, unmatured amounts, and maturity dates.

  • Principal, interest, and penalties must be itemized separately.

  • In accordance with the suspensive effect provided in Article 54 of Law No. 141-15, the filing of the restructuring petition produces the suspension of certain proceedings, including the accrual of interest, subject to the exceptions established by law. Therefore, a detailed annex must be submitted reflecting the calculation of interest and default charges accrued up to the date of the restructuring petition, broken down on a monthly basis, for verification purposes.• Loan agreements, guarantees, terms, and conditions of the credit.• Priority ranking or privilege whose recognition is requested.• Information regarding any administrative, labor, judicial, or arbitral proceedings related to the claim.

  • The declaration must be duly signed by the creditor and accompanied by copies of supporting documentation (tax invoices, purchase orders, contracts, promissory notes, among others).

  • The creditor must present original documents when required by the Conciliator. If originals are unavailable, the creditor must indicate their location and evidence that the necessary steps have been initiated to obtain them.


Undeclared Claims

Claims not declared within the established term may be submitted through a late filing, in accordance with the procedure provided in Law No. 141-15.

Costs associated with such filing shall be borne by the applicant, unless force majeure or duly substantiated unforeseen circumstances are demonstrated.

Further information regarding the process may be obtained at the Court of First Instance for Restructuring and Liquidation, at the offices of the debtor (or its attorneys), and at the Conciliator’s offices.


Provisional Registration by Email

Claims submitted by email will be provisionally registered. However, the creditor may be required to file the duly signed form within the established term and to submit original documents or certified copies in order to complete the claim verification process.
